Help 2001 325CI Questions

I think I have finally made up my mind. I found a 2001 325CI with 25k miles on it. It is fully loaded with every option that I can find on the BMW website. This car is being sold by a wholesale dealership. They said it was a trade at the local BMW dealership. I am looking at this car because all of the local BMW dealerships do not have any 5 speed CI's in stock or I don’t like the color combo. My question is why would the dealer sell this car to the wholesale dealership? It is still under factory warranty so I really don’t have to worry too much right? Will I still get the free scheduled maintenance at my local dealer for the remainder of the warranty? Any certain things I should look for before buying it? They are asking 28,900 for it. As far as I can see this is a good price with all the options that it has. Thank you in advance for the help.
